Changes and dissolution

Changes to registration of an enterprise must be notified to the Register of Enterprises within one month of the decision being taken, for example at a shareholders’ meeting or a board meeting. The changes include changes to:

• The board of directors
• Managing director
• Registered address

There are exceptions to this time limit. For example, an increase in share capital may be notified up to one year later, whereas a reduction of share capital must be notified immediately if it is due to loss.

• Notifications may be sent by email to fyrirtækjaskra@skatturinn.is.
• Original documents are not required – a scanned copy is sufficient.
• It is important that payment accompanies the notification or that proof of payment is provided.

Processing time is generally 10–14 working days, provided that all required documents are in order.
